1. Services

InnovateWebSphere provides web design, web development, e-commerce development, branding, AI integration, systems integration, SEO, paid advertising, analytics setup, and ongoing website maintenance. The specific scope, deliverables, timeline, and price for any project will be confirmed in writing (a quote, proposal, or invoice) before work begins.

2. Quotes & Project Scope
  • Quotes are based on the information provided at the time of request and are valid for [30] days unless otherwise stated.
  • Work begins only after scope and price are agreed upon in writing.
  • Any request beyond the agreed scope (“scope creep”) will be quoted separately before we begin that additional work.
3. Payment Terms
  • Project work (websites, redesigns, one-time builds) typically requires a deposit before work begins, with the balance due upon completion or per a milestone schedule agreed in your proposal.
  • Monthly plans (maintenance, SEO, ad management) are billed monthly in advance and are not locked into long-term contracts unless otherwise agreed.
  • Advertising spend for Google Ads, Meta Ads, or Local Service Ads is paid by you directly to the ad platform; our fee covers management and optimization only, and is billed separately.
  • Late payments may result in paused work until the account is brought current.

4. Revisions

Each project includes an agreed number of revision rounds, specified in your proposal. Additional revisions beyond that scope may be billed at our standard hourly rate or quoted separately.

5. Ownership & Intellectual Property
  • Once a project is paid in full, you own the final deliverables created specifically for you (e.g., your website’s design and content, custom code written for your project).
  • We retain ownership of any pre-existing tools, templates, frameworks, or internal systems used to build your project, and may reuse general (non-client-specific) components in future work.
  • Third-party assets — stock photography, licensed plugins, fonts, or platforms like Shopify — remain subject to their own licenses and are not owned by either party.
  • We may display completed work in our portfolio and marketing materials unless you request otherwise in writing.
6. Maintenance & Support Plans

Monthly maintenance plans include the services described in your specific plan (e.g., Essential, Business, or Complete Care) and are billed month-to-month. Plans may be upgraded, downgraded, or cancelled with [30] days’ written notice.

7. Cancellations
  • Project work cancelled after work has begun will be billed for work completed up to the date of cancellation.
  • Monthly plans may be cancelled at any time with written notice; no refunds are provided for the current billing period already in progress.
8. Third-Party Platforms & Services

Our services may involve integrating third-party platforms (such as Shopify, WooCommerce, Stripe, PayPal, Google Ads, Meta Ads, or CRM tools). We are not responsible for outages, policy changes, or fees charged directly by these third parties.

9. Limitation of Liability

We aim to deliver reliable, high-quality work, but we are not liable for indirect, incidental, or consequential damages arising from use of the Site or our services, including lost revenue, lost data, or business interruption, to the fullest extent permitted by law. Our total liability for any claim will not exceed the amount paid by you for the specific service giving rise to the claim.

10. No Guaranteed Results

While we aim to improve your website’s performance, search rankings, and ad results based on best practices, we cannot guarantee specific rankings, traffic, sales, or outcomes, as these depend on factors outside our control, including search engine algorithm changes and market conditions.

11. Website Use

You agree not to misuse the Site, attempt unauthorized access to our systems, or use the Site in any way that could damage, disable, or impair it.

12. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent revision. Continued use of the Site or our services after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of [South Carolina], without regard to its conflict of law principles.
